Checklist: Continuous Improvement for Future Carve-Outs

Checklist: Continuous Improvement for Future Carve-Outs

Even a flawlessly executed separation leaves lessons worth codifying. The following checklist helps organisations capture and institutionalise those insights so every subsequent carve-out—or bolt-on integration—runs faster, cheaper, and with lower risk.

  • Post-Implementation Review (PIR) Framework
    • Schedule PIR workshops 30, 90, and 180 days post-close; invite work-stream leads, PMO, external advisors, and key suppliers.
    • Use a structured agenda: what worked, what failed, what to change; rank findings by impact and ease of adoption.
  • Update Playbooks and Templates
    • Revise TSA schedules, data-migration scripts, communication calendars, and Day 1 checklists with real defect logs and timing benchmarks.
    • Version-control documents in a central knowledge repository; assign an owner for ongoing upkeep.
  • Metrics Bench-Marking
    • Capture actual vs. planned timeline, cost, and synergy data; append variance commentary.
    • Feed numbers into a “Carve-Out KPI Library” to set sharper baselines for future deals.
  • Talent & Capability Development
    • Identify high-performing team members; add them to an internal carve-out SWAT roster.
    • Launch micro-learning modules covering TSA design, separability due diligence, and post-close governance.
  • Tooling Enhancement
    • Automate manual trackers (risk log, issue log, synergy register) into the enterprise PM system or Power BI dashboards.
    • Integrate code-scanning, licence-inventory, and dependency-mapping tools into standard IT-diligence kits.
  • Supplier & Advisor Scorecards
    • Rate law firms, auditors, SI partners, and cloud vendors on speed, quality, and cost discipline.
    • Maintain a preferred-partner list with pre-negotiated rate cards and “swift-start” MSAs.
  • Process Standardisation
    • Convert repeatable tasks—ERP clone, payroll migration, badge provisioning—into SOPs with time stamps, owners, and artefact checklists.
    • Build a RACI matrix for each SOP to avoid decision confusion next time.
  • Governance Fine-Tuning
    • Compare planned vs. actual escalation response times; adjust tier thresholds and decision rights.
    • Shorten Steering-Committee cycle times if most decisions occurred via ad-hoc calls.
  • Regulatory Intelligence Loop
    • Log all filing timelines, regulator questions, and approval cycles; share with legal teams for future pre-filing strategy.
    • Subscribe to rule-change alerts in key jurisdictions; update playbooks quarterly.
  • Continuous-Improvement Ownership
    • Assign a “Carve-Out COE” (Centre of Excellence) or designate the Strategy/Transformation office to steward all captured lessons.
    • Require every new programme to start with a review of the COE knowledge base and to add at least two new improvements by project close.

By embedding this continuous-improvement loop, organisations transform each carve-out from a one-off project into a learning asset—compounding speed, cost efficiency, and deal value across the entire M&A portfolio.
