Tools and Templates: Carve-Out Project Charter and Planning Documents

Well-designed templates accelerate mobilization, drive consistency across workstreams, and create a single source of truth for the entire carve-out team. Below are the core documents every separation program should adopt from Day 1, plus an outline of the critical fields each template should contain.

Carve-Out Project Charter

The Charter is the foundational document that authorizes the program and sets guardrails for scope, timing, and governance.

  • Purpose and Strategic Rationale – One-paragraph statement linking the carve-out to corporate strategy.
  • Scope Definition – Legal entities, geographies, products, assets, liabilities, employees, and systems in scope.
  • Objectives and Success Metrics – Quantified targets for timing, value, stranded-cost reduction, and Day 1 readiness.
  • Governance Structure – Steering Committee membership, PMO lead, workstream leads, decision-rights matrix.
  • High-Level Timeline – Signing, regulatory filings, close, Day 1, TSA exit.
  • Budget Overview – One-time separation budget, contingency reserve, tracking cadence.
  • Key Risks and Assumptions – Top five risks with owners and initial mitigation plans.
  • Approval Signatures – Executive sponsor, Business Unit head, CFO, General Counsel.

Integrated Work Plan

A master Gantt or milestone plan combining all functional schedules.

  • Task ID, description, owner, start date, finish date, status, dependencies, critical-path flag.
  • Automatic roll-ups for major phases (planning, diligence, separation prep, cutover).
  • Weekly progress % complete and forecast-finish variance.

Scope Tracker

Live inventory of everything transferring or remaining with the parent.Category (asset, liability, contract, employee, IT system).

  • Unique identifier and description.
  • Current owner vs. future owner.
  • Required action (transfer, replicate, terminate).
  • Status, due date, responsible party.

Risk & Issue Register

  • ID, description, impact rating, likelihood rating, overall score.
  • Owner, mitigation action, target resolution date, status.
  • Escalation flag auto-triggers PMO or Steering Committee review.

RACI Matrix

  • Rows: major deliverables and decisions.
  • Columns: Steering Committee, PMO, each functional lead.
  • One letter per cell: Responsible, Accountable, Consulted, Informed.

Communication Plan

  • Stakeholder group, key messages, channel, cadence, sender, approval path.
  • Separate matrices for internal audiences (employees, unions, management) and external audiences (customers, regulators, investors, media).

Budget Workbook

  • Tabs for one-time separation costs, TSA revenue/expense, stranded costs, and contingency.
  • Monthly phasing against the corporate fiscal calendar.
  • Built-in variance analytics and approval workflow for budget changes.

KPI & Status Dashboard (Steering-Pack Ready)

  • Schedule: milestones on track, at risk, delayed.
  • Cost: budget vs. actual, forecast at completion.
  • Risk: heat map of top ten items.
  • Readiness: Day 1 checklist completion %, TSA sign-off %, regulatory approvals obtained.
  • Automated red-amber-green logic to focus Steering discussions.

Implementation Tip:

Load all templates into a central collaboration site (e.g., SharePoint, Teams, or a dedicated PMO tool). Require each workstream to update its inputs before the weekly PMO call—turning raw data into a single consolidated view for executive decision-making.
