General Partner

General Partner (GP) refers to the individual or firm responsible for managing a private equity fund. The GP oversees the fund’s operations, including sourcing investment opportunities, conducting due diligence, negotiating deals, managing portfolio companies, and ultimately executing exit strategies to deliver returns to investors.

In addition to management duties, the GP also assumes fiduciary responsibilities and legal liability for the fund’s activities.

While the GP manages the fund, the capital primarily comes from Limited Partners (LPs)—institutional investors, family offices, pension funds, and high-net-worth individuals—who commit funds to the private equity vehicle.

The GP typically contributes a smaller portion of the capital, often referred to as GP commitment, which aligns their interests with those of the LPs by ensuring they have skin in the game.

Responsibilities of a General Partner

  • Fundraising: The GP is responsible for raising capital from LPs to establish the fund. This involves preparing marketing materials, meeting with prospective investors, and articulating the fund’s investment strategy and track record.
  • Investment Sourcing and Due Diligence: Once the fund is capitalized, the GP identifies potential investment opportunities. This includes networking with industry contacts, leveraging financial advisors, and proactively seeking companies that fit the fund’s criteria. Due diligence involves thorough analysis of the target company’s financials, market position, management team, and growth potential.
  • Portfolio Management: After acquiring companies, the GP plays an active role in overseeing their growth and operational improvements. This can involve strategic guidance, cost optimization, leadership changes, or facilitating mergers and acquisitions within the portfolio.
  • Exit Strategies: The GP is responsible for determining the optimal timing and method for exiting investments, whether through a sale to a strategic buyer, initial public offering (IPO), or secondary buyout. The goal is to maximize returns for both the GP and LPs.
  • Reporting and Compliance: The GP provides regular updates to LPs regarding fund performance, portfolio company developments, and financial metrics. They also ensure the fund complies with all legal and regulatory requirements.

Compensation of a General Partner

The GP’s compensation typically follows the “2 and 20” model:

  • Management Fees: The GP charges an annual management fee, usually around 2% of the fund’s total Assets Under Management (AUM) or committed capital. This fee covers operational expenses like salaries, office costs, and administrative activities.
  • Carried Interest: The GP also earns carried interest, which is a percentage (often 20%) of the fund’s profits after returning the initial capital to LPs and meeting a predefined hurdle rate. This performance-based incentive aligns the GP’s success with the fund’s profitability.

Liabilities and Legal Structure

Unlike LPs, who have limited liability and are only at risk of losing their invested capital, GPs have unlimited liability. This means they are legally responsible for the fund’s obligations and debts. To mitigate personal financial risk, many GPs operate through limited liability partnerships (LLPs) or management companies that shield individual partners from personal exposure.

Key Takeaways

  • A General Partner (GP) manages all aspects of a private equity fund, including fundraising, deal sourcing, portfolio management, and exits.
  • GPs earn compensation through management fees and carried interest, incentivizing them to generate strong returns.
  • They hold fiduciary responsibilities and legal liabilities, distinguishing them from Limited Partners (LPs) who provide capital but do not engage in day-to-day management.
  • The GP’s expertise, track record, and strategic execution are critical factors in a fund’s overall performance and success.
