Typical legal services independent consultants need
When a consultant starts her own independent practice, some initial legal needs typically revolve around structuring and filing your legal business entity.
Legal advice is also important when it comes to business contracts, and can help protect you and your business.
If you hire employees or engage subcontractors, it is wise to consultant an attorney with expertise in employment law.
Self-employed professionals should also consider their will and estate plan. This becomes even more important if you have a business or personal partner, and/or children.
Each of these areas are discussed more in depth in the next sections.

Establish your legal entity
In the United States, it is legal to work as an independent professional without a business entity, but we strongly encourage setting up a legal structure. There are four steps to take.
Decide on what type of entity to establish
For roughly 80% of consultants in the U.S. the right structure is a simple Limited Liability Corporation (LLC).
Registering as an LLC provides independent consultants with several benefits. First, it’s required if you want to open a business checking account, obtain business insurance, and get an employer identification number (EIN) from the IRS.
An LLC also does exactly what its name implies — it provides limited liability protection for your business.
“If a client sues you for work you’ve done through your LLC, then your personal assets should be protected,” explains Umbrex Managing Partner Will Bachman in section five of our video course, Setting Up Your Consulting Practice.
Doing business as an LLC also creates a better impression on clients by establishing your services as a true business, rather than signing a contract with an individual.
There are also other legal business entities that can be set up, such as an S-corporation or C-corporation. In Episode 353 of our Unleashed podcast Jonah Gruda, a tax partner at Marcum LLP, explains the difference between these types of business formations, and the benefits each offers.
“I would encourage people to really think about this. There are a lot of unintended consequences from rushing to make these entities a reality,” Gruda says.
File the paperwork with a state to establish your entity
Your attorney or account can register your entity for you, or if registering a simple LLC, you may consider using a website such as LegalZoom, Rocket Lawyer, or Incfile.com.
Consultants are encouraged to seek the support of an attorney and/or tax accountant to confirm the right entity type for your situation, and in what state to set it up.
You will also want an attorney to create your operating agreement, as the boilerplate templates from online services may not be suited to your particular situation.

Create an operating agreement for the entity
Some entities require additional agreements and paperwork.
“Sole proprietor is very easy,” Gruda says. “You can just get a DBA (Doing Business As) and an EIN and start operating. Partnerships, C-corporations, S-corporations, and LLCs tend to be a bit more administratively burdensome. You need either articles of incorporation or articles of organization. With a partnership, you need a partnership agreement.”
An LLC also often requires an Operating Agreement — a legal document that establishes the rights and responsibilities of each LLC member and provides details such as:
- How decisions are made
- When meetings are held
- How new members are admitted
According to LawDepot, If you form an LLC in Delaware, Maine, Missouri, or New York, state laws require you to create an Operating Agreement. If your state does not require a written company agreement, you should keep in mind that this document is crucial to your company’s internal operations.
An Operating Agreement makes important company processes clear, including how to distribute profits and losses and which members have the authority to bind the company to legal contracts.
Multi-member LLCs can use this agreement to reduce the chances of disputes between members. Single-member LLCs may also benefit from an Operating Agreement, especially if the sole member relies on a manager to conduct company business.
We recommend against using a template you find online for your operating agreement. These template agreements may not meet your needs and a few dollars saved now can result in headaches later on. Instead we recommend that you consultant with an attorney.
Obtain a tax number
Once you’ve registered your LLC with the state, you’re going to go to the IRS to obtain an EIN, which functions like a Social Security Number for your business. The process is pretty simple and can be done online at the IRS website.
You’re going to need that EIN for all sorts of official business. When you want to get paid by a client, they’ll have you supply them with a W-9. Instead of putting your name and Social Security Number on that W-9, you’ll put your LLC’s name and your Employer Identification Number.
When you get that document from the IRS with the Employer Identification Number, obviously, share that with your tax accountant and keep it in a safe place as you may need it for other things such as business accounts and insurance.
Consulting contracts and templates
Contract templates can save you time. Once created, have your attorney view the terms of your contract to ensure it holds up in all states where you do business.There are three main types of contract templates that you should have at the ready:
- A master service agreement (MSA) with clients
- An agreement between you and any subcontractors
- A non-disclosure agreement

Employment law issues
If you hire employees or engage subcontractors, it is wise to consultant an attorney with expertise in employment law.
“It’s a very complex regulatory environment,” says attorney Alexei Leonard. “So it can be very daunting. A good place to start is the key list of documents and compliance items that I need to worry about if I’m looking to bring on my first employee.”
Leonard is a Partner at Golenblock, Eisman, Assor Bell, and Pescoe where he leads the firm’s labor and employment practice. His practice spans nearly all employment counseling and litigation matters affecting employers today.
In Unleashed Episode 468, Leonard discussed the key legal issues involved when it comes to hiring, such as letters of employment, worker’s compensation, payroll, insurance, background checks, non-disclosure and non-compete agreements, and unemployment insurance, among others.
Having these things in place from the beginning can help avoid a lot of big problems. “It’s a lot easier to enforce a contract than it is federal law,” Leonard points out.
Estate Planning
For self-employed professionals, having a will and estate plan is crucial. This becomes even more important if you have a business or personal partner, and/or children.
Maureen Pritchard, a trust and estates attorney based in New York City, says that the reason it’s important to put all this together with an attorney is creating a seamless plan and process for everything.
In the event something should happen to you, a person appointed who knows where all of your assets are located, and there’s a process for getting those assets out of your name and into the hands of your beneficiary, whether that’s through probate or some other form of estate plan.
“If the person has a high enough estate [value], there may be tough tax consequences, and planning your estate you can prepare for those tax consequences,” Pritchard says. “If the individual has children, then this is also very important because they can use a will or some other standalone documents to nominate or designate someone else to take care of their children. So it’s very important because you want to avoid the conflict and the uncertainty about who is going to get your assets.”
In addition to creating a last will and testament, there are other estate planning tools and vehicles that can be used to administer your estate and get assets to your beneficiaries, such as a revocable living trust and medical power of attorney.
It’s not just about planning for death, she adds. It’s also about anticipating and planning for what will happen if you are incapacitated, in the hospital, or because of some other circumstance can’t do certain things. It’s important to legally set up who will do those things for you.
